Npvideo.com ("we" or "us") provides an online video service offering a selection of television shows, movies, clips, and other content (collectively, the "Content"). Our video service, the Content, our player for viewing the Content (the "Video Player") and any other features, tools, applications, materials, or other services offered from time to time by Npvideo.com in connection with its business.

The Content is available for permissible viewing on or through the following (collectively, the "Properties"):

  1. the Npvideo.com website (the "Npvideo.com Site");
  2. Npvideo.com's affiliate and distributor websites;
  3. other websites where users or website operators are permitted to embed the Video Player; and
  4. Npvideo.com's authorized applications, features or devices.

Use of the Npvideo.com Services (including access to the Content) on the Properties is subject to compliance with these Terms of Use ("Terms of Use" or "Terms") and any end user license agreement that might accompany a Npvideo.com application, feature or device.

Visitors to the site merely wishing to view content is not required to register and become members. However, any use of this site (which includes but is not limited to simply viewing the site's content) constitutes your acknowledgement and acceptance of these Terms of Use, which takes effect the moment you first use the site. ABILITY TO ACCEPT TERMS OF SERVICE

PASSWORD, USERNAME AND SECURITY

Your Username and Password allow you to access your account and, as we continue to enhance the site, log on to areas of the site that are reserved for members only.

Otherwise, this information will be kept private and confidential and will not be passed on to third parties without your express consent.

HOLD HARMLESS AND INDEMNIFICATION

 

You agree to hold harmless and indemnify Npvideo.com, its employees, agents, representatives and third-party content, distribution, advertising or other strategic partners from and against any third-party claim arising from or in any way related to your use of the Npvideo.com site, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys fees, of every kind and nature. If Npvideo.com receives notice of such a claim from someone other than the member whose use of the site is in question, Npvideo.com will provide that member with written notice of such claim, suit or action, at the email address provided by that member at the time of registration.

GRANT OF LICENSE

 

When you upload or post content to Npvideo.com, that content becomes public content and will be searchable by and available to anyone who visits the Npvideo.com site. Npvideo.com may  claim ownership of the materials you post, upload, input or submit to the Npvideo.com site. However, by posting, uploading, inputting, providing or submitting your content to Npvideo.com, you are granting Npvideo.com, its affiliated companies and partners, a worldwide, revocable, sub-licensable license to use, reproduce, create derivative works of, distribute, publicly perform, publicly display, transfer, transmit, distribute and publish that content for the purposes of displaying that content on Npvideo.com and on other Web sites, devices and/or platforms. When you do remove your content, the license described above will automatically expire. We cannot guarantee that content deleted from Npvideo.com or permanently deleted from our servers will be deleted from the Web sites or systems of third parties. If you would like your content removed and/or permanently deleted from any Web sites other than Npvideo.com, you will be required to contact such Web sites directly, and we cannot guarantee any outcome, action or result with respect to any such request by you.

ADVERTISING REVENUE SHARE

 

Npvideo.com is a advertisement supported website and shares a certain percent of the net advertising revenues unless that are actually received by Npvideo.com and generated by user content with the user who uploaded the content. Revenue sharing is performed on a quarterly basis, with revenues remitted to users via PayPal or check (at Npvideo.com's sole discretion) who have accumulated a balance of $10 or more. Participation in the revenue sharing program requires that the user have a PayPal account and share their PayPal username with Npvideo.com We will ask you for PayPal info when necessary. In certain cases, Npvideo.com may be required to report your earnings through the advertising revenue share program to the Internal Revenue Service or other government authorities. In such a case, Npvideo.com may reserve payment until appropriate reporting information (i.e. Social Security Number, address) has been provided to make such reporting possible.

Npvideo.com reserves the right to withhold advertising payment to any user who is found to have used the Npvideo.com service in a way disallowed by these Terms of Use (i.e. uploading content they do not own). Violation of the Npvideo.com Terms of Use automatically disqualifies a user from participation in the revenue share program and the earned balance will be forfeited.

Since Npvideo.com is advertising supported website we advertise on every content. In order to 'opt out'  in the advertising program, users must create a support ticket and mention that they don't want to display advertisements before within or after their contents. Npvideo.com usually has 6 formats of advertisements.

  • ·         Preroll ads run before the start of your video and are generally between 3 and 30 seconds. These ads often perform very well since most of your viewers will see them.
  • ·         Overlay ads are inserted in the lower third of your video. Some overlays will automatically shrink or hide themselves if the viewer doesn't interact with them. Viewers also have the opportunity to close the ad unit by clicking an "X" in the corner.
  • ·         Postroll ads start playing when your video finishes. If you're using the Npvideo.com player then postroll ads will play in-between episodes of your show.
  • ·         Midroll ads are interstitials that run during your video and are generally between 15 and 30 seconds. You will have the ability to set the start time for these ads. Midrolls will only run on videos that are 15 minutes or longer.
  • ·         Banner ads and text ads are the ads that are displayed inside different parts of website

 

Npvideo.com reserves the right to run advertisements on any page on Npvideo.com. Advertisements run against videos on Npvideo.com may be sold and served by Npvideo.com or any of its many advertising partners. If you would like Npvideo.com to run advertisements that you have sold, you may request that we do so. You will be charged a fee. Npvideo.com's DIY advertising services are provided without representation or warranty of any kind, and are provided on an as-is basis.

In order to attain this goal, and in addition to the other content and/or action restrictions set forth in these Terms of Use and elsewhere on the Npvideo.com website, the following content is prohibited on Npvideo.com:

  • Content involving nudity, including but not limited to, nudity or partial nudity of children of any age.

  • Content that exploits children or minors or that discloses any personally identifying information beyond a first name about persons under the age of 18.

  • Content that has as its sole or primary purpose to advertise a particular product or service that, in the sole judgment of Npvideo.com, does not otherwise have redeeming value to the community. Npvideo.com may allow the uploading of some such content for a fee, at its sole discretion. Such advertising content may be treated differently than other content (i.e. through indications that it is an advertisement, or exclusion from some indices or searches).

  • Content that is or may be deemed to be grossly offensive to the online community, including but not limited to, blatant expressions of bigotry, prejudice, racism, hatred and profanity.

  • Content promoting or providing instructional information about illegal activities.

  • Content depicting cruelty to animals.

  • Copyrighted content or material that is used without the express permission of the owner.

  • Content intended to abuse, harass, stalk, threaten or otherwise violate the legal rights of others (such as the rights of privacy and publicity).

  • Content that contains software or other material protected by intellectual property laws unless you own or control the rights thereto or have secured all necessary consents and/or licenses.

  • Content or other material that contains viruses, corrupted files, or any other similar software or programs that may damage the operation of Npvideo.com servers or another users computer.

  • Content that violates any applicable laws or regulations not specifically referenced herein.

COMMERCIAL AGGREGATION

 

Npvideo.com is designed to be technically compatible with the universe of third-party aggregation software to the greatest extent possible, and we are committed to building an open platform. Unless otherwise stated, however, you may not distribute, transmit, broadcast, commercially exploit or modify in any way material or content or permit or assist any third party in doing the same. You may not aggregate, remove links, embed or "deep-link" content on Npvideo.com from your own Web site, service or platform for commercial purposes in a systematic way without the prior written consent of Npvideo.com. You must at all times respect the copyright licenses attached to Npvideo.com content while aggregating, embedding or deep-linking Npvideo.com content

The Video Player. You may not modify, enhance, remove, interfere with, or otherwise alter in any way any portion of the Video Player, its underlying technology, any digital rights management mechanism, device, or other content protection or access control measure incorporated into the Video Player. Where Npvideo.com has incorporated an embed option in connection with Content on the Npvideo.com, you may embed videos using the Video Player, provided you do not embed the Video Player on any website or other location that (i) contains or hosts content that is unlawful, infringing, pornographic, obscene, defamatory, libelous, threatening, harassing, vulgar, indecent, profane, hateful, racially or ethnically offensive, encourages criminal conduct, gives rise to civil liability, violates any law, rule, or regulation, infringes any right of any third party including intellectual property rights, or is otherwise inappropriate or objectionable to Npvideo.com (in Npvideo.com's sole discretion), or (ii) links to infringing or unauthorized content (collectively, "Unsuitable Material"). You may not embed the Video Player into any hardware or software application, even for non-commercial purposes. Npvideo.com reserves the right to prevent embedding to any website or other location that Npvideo.com finds inappropriate or objectionable (as determined by Npvideo.com in its sole discretion).

Subscribed Accounts

 

Npvideo.com offers its users the ability to purchase "Subscribed accounts" that confer on the bearer additional access of the website to watch live streaming Television channels for a monthly, quarterly, half yearly or yearly fee . Npvideo.com may, at its discretion, cancel a user's Subscribed account or underlying account for any reason, including violation of these Terms of Use. Under such circumstances Npvideo.com will refund to the account holder a pro-rated portion of their paid Subscribed account fees, rounded to the nearest unused whole month.

Suspension/Discontinuation. We hope not to, but we may change, suspend, or discontinue — temporarily or permanently — some or all of the Npvideo.com Services (including the Content and the devices through which the Npvideo.com Services are accessed), with respect to any or all users, at any time without notice. You acknowledge that Npvideo.com may do so in Npvideo.com's sole discretion. You also agree that Npvideo.com will not be liable to you for any modification, suspension, or discontinuance of the Npvideo.com Services, although if you are a Npvideo.com subscriber and Npvideo.com suspends or discontinues the Npvideo.com subscription service, Npvideo.com may, in its sole discretion, provide you with a credit, refund, discount or other form of consideration (for example, we may credit additional days of service to your account) in accordance with Section 4 below. However, if Npvideo.com terminates your account or suspends or discontinues your access to Npvideo.com Services due to your violation of these Terms, then you will not be eligible for any such credit, refund, discount or other consideration.

Npvideo.com Subscriptions and Billing

 

While it is our mission to provide users with as many viewing choices as possible, sometimes that involves giving users the choice of paying a fee in order to view Content that Npvideo.com would not otherwise be able to make available without charging a fee. As part of that, access to the Content in Npvideo.com subscription requires payment by you of a subscription fee.

You can find the specific details regarding your subscription to Npvideo.com at any time by clicking on Your Account. You agree that your Npvideo.com account is for individual use only and your Npvideo.com account is limited to only one simultaneous stream at a time. Additionally, you agree that for various reasons, such as restrictions from content licensors and other limitations or considerations from third parties, certain Content that may be accessible through one Property may not be accessible through other Properties.

Billing

By signing up for your Npvideo.com subscription, you are expressly agreeing that we are authorized to charge you a monthly subscription fee, any other fees for additional services you may purchase, and any applicable taxes in connection with your use of Npvideo.com to the credit card or other payment method accepted by Npvideo.com ("Payment Method") that you provided during registration. As used in these Terms of Use, "billing" shall indicate either a charge or debit, as applicable, against your Payment Method. The subscription fee will be billed at the beginning of your subscription or expiration of your free trial period, if any, whichever is earlier, and on each monthly renewal thereafter unless and until you cancel your subscription or the account or service is otherwise suspended or discontinued pursuant to these Terms. We may automatically bill your Payment Method each month on the calendar day corresponding to the commencement of your subscription. However, if you decide to change your Payment Method, this could result in changing the calendar day upon which you are billed. In the event your subscription began on a day not contained in a given month, we bill your Payment Method on the last day of such month. For example, if you became a paying subscriber on January 31, your Payment Method would next be billed on February 28. You acknowledge that the amount billed each month may vary due to promotional offers, changes in your subscription plan, and changes in applicable taxes, and you authorize us to charge your Payment Method for the corresponding amounts. If Npvideo.com changes the subscription fee or other charges for Npvideo.com  from time to time, we will give you advance notice of these changes by email. However, we will not be able to notify you of changes in any applicable taxes.

Cancellation and refunds..

Very rarely, if there are special circumstances where Npvideo.com determines it is appropriate (e.g., the Npvideo.com  service is unavailable for days due to technical difficulties), we may provide credits to affected subscribers. The amount and form of such credits, and the decision to provide them, are at Npvideo.com's sole and absolute discretion, and the provision of credits in one instance does not entitle anyone to credits in the future under similar or different circumstances.

Free Trials.

On occasion, we may be authorized to offer the use of Npvideo.com  through free trials for certain qualifying users. If we offer you a free trial, the specific terms of your free trial will be stated in the marketing material describing the particular free trial. We are unable to accommodate combining free trials with any other offers.
